Terms of Service

1. Agreement

These Terms of Service (“Terms”) are between you and PLAIGROUND LLC (“PLAIGROUND,” “we,” “us”). They cover use of wannaplai.com, related product pages, and the distribution and publishing services described here.

A signed Publishing Agreement is required before PLAIGROUND claims the publisher’s share of any work. These Terms do not, by themselves, transfer that share. The grant, exclusive term, and reversion live in the Publishing Agreement (working draft).

If you are under 18, a parent or legal guardian must co-sign these Terms, the split sheet, and the Publishing Agreement.

3. What PLAIGROUND is

PLAIGROUND is the publisher of works accepted for publishing — not an administrator, agent, or referral service. When a work is accepted and a Publishing Agreement is signed, PLAIGROUND holds the 50% publisher’s share. Writers keep the 50% writer’s share, divided among writers as shown on the split sheet.

There is no separate administration fee. The publisher’s share is PLAIGROUND’s compensation for acting as publisher. The one-time publishing fee does not buy a larger ownership percentage.

Writers keep the copyright in their compositions. This is not a life-of-copyright assignment.

4. Eligibility

You must be at least 13 years old to use PLAIGROUND. If you are 13–17, a parent or legal guardian must co-sign these Terms, the split sheet, and the Publishing Agreement before we accept a work.

You must be able to enter a contract in your place of residence, and you must not be located in a sanctioned country or region listed in Section 18.

Every writer on a published work needs an active performing-rights organization (PRO) affiliation before we complete full publishing registration.

5. Services

Depending on what you submit and pay for, PLAIGROUND may:

• Deliver recordings to digital stores and platforms (distribution of the master).
• Act as publisher of accepted compositions, register those works, and collect the publisher’s share where we can.
• Generate split sheets for the composition and collect electronic signatures.
• Pay writer shares and other amounts we actually receive and can allocate.

Distribution and publishing are separate. Paying for one does not include the other. We may refuse a submission that does not meet these Terms, the AI rules, or store requirements.

6. Fees

Fees are charged at submission. Amounts below are the current TOS service fees. They do not change the 50/50 publisher/writer split.

The site also lists account plans: Basic $0 forever, Creator $14.99 per month or $149 per year, and Pro $19.99 per month or $149 per year. Those are subscription tiers. Publishing registration is a $199 add-on and a Pro feature. A plan fee does not make PLAIGROUND your publisher and does not increase your ownership of any royalty stream.

Taxes, bank fees, and PRO or society charges are extra when they apply.

7. Publishing

For each work accepted for publishing:

• PLAIGROUND is the publisher and holds 50% of the composition as the publisher’s share.
• Writers keep 50% as the writer’s share, split among them per the signed split sheet.
• The $199 fee (or the volume price) is a registration fee. It does not buy more than the publisher’s half, and it does not reduce the writers’ half.

These Terms do not transfer the publisher’s share. PLAIGROUND claims that share only after a Publishing Agreement for that work is signed (electronically, as described below). Until then, paying the fee is a request for publishing, not a completed grant.

We register and collect through the societies and pipelines we have joined. We do not promise that every society, territory, or income type is already live.

8. Term and reversion

The publishing term is set in the Publishing Agreement. The working draft provides:

• PLAIGROUND is the exclusive publisher of each accepted work for 12 months from acceptance of that work.
• After those 12 months, you may cancel at any time with 30 days’ written notice.
• After the term ends, PLAIGROUND files a change-of-publisher / reversion for that work.
• Royalties earned during the term that are still in the pipeline may be collected after cancel.

You keep copyright in the composition. Ending the term does not assign the work to PLAIGROUND for the life of copyright.

9. Split sheets

The split sheet covers the composition only — the writers’ 50% side. Shares on that sheet must add up to 100% of the writer’s share. That is split math among writers. It is not a statement that any person receives all royalties from the song.

After a work is released, splits do not change except by a signed amendment of every writer on the sheet plus PLAIGROUND, or by a court or arbitration order. If a split is in dispute, we may freeze royalties for that song until the dispute is resolved in writing.

A writer without a PRO on file may still be listed. We may hold that writer’s publishing payout until an active PRO is on file and registration can be completed.

10. Composition and master

The composition (the song) and the master (the sound recording) are separate rights.

• The split sheet and the Publishing Agreement deal with the composition.
• The master is a separate agreement. Distribution of a recording is not a publishing grant.
• A 95/5 arrangement, where one is used, is a distribution (master) split. It is not the publishing split and it does not replace the 50/50 publisher/writer model.

11. PROs and BMI

PLAIGROUND collects the publisher’s share through a BMI publisher account only. We do not collect publisher’s share through ASCAP or SESAC.

If you or a co-writer is affiliated with ASCAP or SESAC, that writer’s publisher share cannot be collected through BMI. Tell us each writer’s PRO before we register. Full registration waits until every writer has an active PRO.

Writer-share collection follows each writer’s own PRO. Society rules, matching, and timing are outside our control. See Section 19.

12. Mechanicals

Mechanical royalties in the United States are collected through The MLC only after PLAIGROUND is an MLC member. We are not promising that mechanicals are already being collected. When membership is active, we will collect mechanicals we are eligible to collect for works then under agreement.

13. AI-assisted works

PLAIGROUND accepts fully AI-created tracks.

You also agree that:

• Any AI tool used to generate audio or lyrics was on a commercial (paid) plan at the time of generation. Free-tier or unauthorized generations are not accepted.
• You will not submit voice cloning or a recording that imitates another artist’s voice or master.
• Your AI disclosure must be accurate. We may reject or take down a release for a false or incomplete disclosure.

14. Marketing Boost

Marketing Boost is a possible future optional product. It is not offered for sale yet. We do not sell Boost packages on this site, and these Terms do not price or promise a campaign.

If Boost is offered later, it will be optional, under a separate description, and results will never be guaranteed. We do not sell or permit artificial streaming, fake playlists, or other fake engagement.

15. Payouts, tax, and non-payment

We pay amounts we actually receive and can match to your works and splits, minus fees, holds, and taxes required by law. Timing depends on stores, PROs, and other partners.

We may require a completed W-9 or W-8BEN (or equivalent) before we pay you. We may withhold tax where the law requires it.

If fees or other amounts you owe are unpaid, we may suspend royalty payouts while keeping releases live. We may permanently remove releases and end services for fraud or repeated breach.

16. Refunds

Fees are charged when you submit. Two refund rules are still under counsel review (a partial refund if a work is rejected and cannot be resubmitted, versus treating fees as non-refundable). Until that policy is finalized, any refund is handled case by case. We do not promise a 14-day cooling-off period or an automatic refund.

17. Electronic signatures

Split sheets and the Publishing Agreement are signed electronically through SignWell or an equivalent tool. An electronic signature has the same effect as a wet-ink signature. We may refuse to deliver or register a work until every required signer has signed.

18. Sanctioned countries

You may not use PLAIGROUND if you are located in, ordinarily resident in, or acting for a person in Cuba, Iran, North Korea, Syria, Russia, Belarus, Venezuela, Crimea, or other sanctioned regions of Ukraine. We may refuse or terminate service if this rule is broken.

19. Disclaimers and liability

The services are provided as available. We do not guarantee store approval, playlist placement, a level of streams or income, or that a society will match or pay a work on any timetable.

PLAIGROUND is not liable for society or PRO delays, platform takedowns, or losses caused by information you or a co-writer gave us (including wrong splits, PRO data, or AI disclosures).

To the fullest extent allowed by law, our total liability for claims arising out of these Terms or the services is limited to the fees you paid us in the 12 months before the claim. We are not liable for lost profits, lost data, or other indirect or consequential damages.

20. Governing law and contact

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Courts located in Los Angeles County, California have exclusive jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction.

We may update these Terms as the product and counsel review move forward. The version and date at the top of this page are controlling for the public draft. A later signed Publishing Agreement controls the grant, term, and reversion for that work if it conflicts with this page.
